Terms and Conditions

The following are the Terms and Conditions ("Terms") that govern use of this website, www.ticketsforcharity.com and our call centers (collectively, the "Site"), and the services provided by Tickets for Charity, LLC (the “Services”). By completing the order process, you agree to accept the terms and conditions of this Agreement and to become a member of this Site and to comply with these Terms and all applicable laws and regulations governing the Site. Tickets for Charity, LLC (“TFC”, “we” or “us”) reserves the right to modify these Terms at any time, effective immediately upon posting on the Site. Please check this page of the Site periodically for modifications to these Terms. These Terms were last revised on December 7, 2009. If you violate any of these Terms, TFC may terminate your use of the Site, forbid you from any further use of the Site, cancel your order, and/or take appropriate legal action against you. Your continued use of the Site and the Services following our posting of any revised Terms will constitute your acceptance of the revised Terms. If you do not agree with the Terms or any revised version of the Terms, do not continue to use the Services or this Site.

TICKETS-FOR-CHARITY 2010 MOTHERS DAY SWEEPSTAKES

1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR DONATION WILL NOT IMPROVE YOUR CHANCES OF WINNING.

2. Grand Prize Promotion Period:

TheTickets-for-Charity 2010 “Mothers Day Sweepstakes” begins at 8:00 AM Pacific Daylight Time (“PDT”) on May 3nd, 2010 and ends at 12 AM (PDT) on May 5th, 2010 (“Promotion Period”). Sponsor: Tickets for Charity, LLC.

3. Eligibility:

Sweepstakes is open to legal residents of the 50 United States and the District of Columbia, a registered user of www.facebook.com age 21 or older at time of entry. Employees of The Sponsor and its respective affiliates, subsidiaries, distributors, retailers, advertising and promotion agencies, and the immediate families of each are not eligible to enter.

4. To Enter:

enter you must have a Facebook account. If you don’t already have one, go to www.facebook.com and create an account.

You will automatically be entered into the Tickets-for-Charity 2010 “Mothers Day Sweepstakes” when you post a response on the “Notes” tab of the Tickets-for-Charity Facebook Fan Page.

To enter one must respond to the promo posted on the TFC Facebook page. Limit: One entry per person per Facebook account holder. Entrant must be the rightful owner of the Facebook account. Normal time, toll, connection and usage rates, if any, charged by your internet or mobile service provider will apply. All entries become the property of the Sponsor and will not be acknowledged. In the event of a dispute as to the identity of an entrant, the authorized Twitter or Facebook account holder will be deemed to be the entrant. Entries become the Sponsor’s property and will not be returned or acknowledged. Proof of submission will not be deemed proof of entry. PLEASE NOTE THAT A HIGH VOLUME OF ENTRIES OR TECHNICAL DIFFICULTIES WITH ANY SYSTEM OR SERVER, MAY RESULT IN TEMPORARY INABILITY TO ENTER THE SWEEPSTAKES SUCH THAT YOUR ENTRY IS NOT RECEIVED IN TIME TO PARTICIPATE. SPONSOR IS NOT RESPONSIBLE OR LIABLE SHOULD ANY ENTRIES NOT BE RECEIVED DUE TO SUCH DELAYS OR TECHNICAL DIFFICULTIES.

5. Selection of Grand Prize Winner:

Potential Grand Prize winner will be determined in a random drawing from all eligible entries received during the Promotional Period. Potential winner will be notified by the email address provided with their Facebook account registration or from Customer_Service@tickets-for-charity.com or via direct message on Facebook, May 6th during the hours of 12:00 PM PDT and 1:00 PM PDT to obtain a mailing address for fulfillment of the prize and must respond to that message within 48 hours or that potential winner will forfeit all rights to the Grand Prize and another alternative winner will be selected. Five separate notifications will be sent to the address provided by entrant over a 48-hour period. If all five notifications come back as undeliverable the potential winner will automatically be disqualified. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. In Sponsor’s discretion only three (3) alternate drawings will be held, after which the applicable prize will remain un-awarded. The Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate winner, if any. Decisions of the Sponsor are final and binding in all matters related to the sweepstakes. Prizes are not transferable or redeemable for cash. Acceptance of prize constitutes permission (except where prohibited by law) to use each winner's name, prize won, hometown and likeness for purposes of advertising, online posting, promotion and publicity without additional compensation. The Sponsor reserves the right to modify the notification procedures in connection with the selection of alternate winners, if any.

6. Prize and Approximate Retail Value (“ARV”):

Grand Prize (1): 2 VIP Stage Seat Packages to either the Portland or Seattle James Taylor/Carole King Troubadour Reunion shows. All other expenses not mentioned herein, including but not limited to, ground transportation to and from the game, food, beverages, additional amenities or fees and gratuities, are the responsibility of Grand Prize winner and his/her companion. Tickets subject to availability. If selected Grand Prize Winner is unable to attend the events on the dates specified, the selected Grand Prize Winner will forfeit the prize and an alternate winner will be selected in a separate random drawing from among the remaining eligible entries received if possible with time remaining. Certain blackout dates and material restrictions apply. Odds of winning a prize depend on the number of eligible entries received. . Taxes, if any, are the responsibility of the winners.

7. General:

By entering the Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the Sweepstakes Sponsor, which shall be final and binding in all respects. By participating in this Sweepstakes and/or by accepting any prize that they may win, entrant agrees for entrant and for entrant’s heirs, executors, and administrators (i) to release the Sponsors and each of their respective parent, subsidiary and affiliated companies, units and divisions and advertising and promotional agencies and prize suppliers; and each of their respective officers, directors, agents, representatives and employees; and each of these companies and individuals' respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from or in connection with participation in this Sweepstakes and/or acceptance or use of any awarded prize, (ii) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes, and (iii) that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, relative to the quality, condition, fitness or merchantability of any aspect of the prize, express or implied, in fact or in law. Entry constitutes permission (except where prohibited by law) to use Grand Prize Winner’s name, city, state, likeness, voice, biographical information and statements for purposes of advertising, promotion and publicity in any and all media, now or hereafter known, throughout the world in perpetuity without additional compensation, notification, permission or approval.

8. Waiver:

Released Parties are not responsible for any technical, mechanical, printing, typographical, human or other error or any kind relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in the administration of the Sweepstakes, the processing of entries, the announcement of the prize or any Sweepstakes-related materials; or for any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Sweepstakes, incomplete, lost, late, stolen, damaged, inaccurate, illegible, misdirected, garbled, delayed or undelivered entries; or for technical hardware or software malfunctions or failures of any kind, lost, unavailable network connections, or failed, incomplete, garbled or delayed computer transmission, which may limit an individual’s ability to participate. Sponsor is not responsible for any failure to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor or other “force majeure” event. Sponsor reserves the right in its sole discretion, to cancel, suspend or modify the Sweepstakes, or to disqualify any implicated entrant(s), (and their entries) if any fraud, virus, actions by entrants, technical or other error or problem of any kind, or any other occurrence corrupts or affects the administration, integrity, security, or proper play of the Sweepstakes, as determined by Sponsor in its sole discretion. In the event of cancellation, Sponsor reserves the right, at its sole discretion, to award any prize in a random drawing from among all eligible, non-suspect entries received up to the time of the event or action warranting such cancellation or award the prizes in its discretion in an equitable manner. No more than the stated number of prizes will be awarded. CAUTION: Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek damages from any such entrant to the fullest extent permitted by law, including criminal prosecution.

9. Disputes:

The Sweepstakes and these Official Rules are governed by and shall be construed in accordance with the laws of the State of Massachusetts, United States of America, without regards to its principles of conflicts of law and entrant agrees to personal jurisdiction by the federal and state courts located in Boston, Massachusetts, United States of America, and waives any jurisdictional, venue or inconvenient forum objections to such courts. Further, in any such dispute, under no circumstances will entrant be permitted to obtain awards for, and hereby irrevocably waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with participating in the Sweepstakes), and entrant further irrevocably waives all rights to have damages multiplied or increased.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR, RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Privacy Policy:

Any personal information supplied by you to Sponsor will be subject to Sponsor’s privacy policy posted here.

11. Official rule and Winner’s List:

For a copy of these Official Rules, or the name of the Winner (available after May 5, 2010), mail a self-addressed, stamped envelope to 177 Huntington Avenue, Suite 2000, Boston, MA 02115. Requests must be received by June 1, 2010.

Permitted Use

You agree that you are only authorized to visit, view and to retain a copy of pages of this Site for your own personal use, and that you shall not copy, download, publish, modify or otherwise distribute any content found on this Site for any purpose other than to review event and promotional information, for personal use, or to make a purchase or charitable payment, unless otherwise specifically authorized by us to do so. You also agree not to deep-link to the site for any purpose, unless specifically authorized by us to do so. The content and software on this Site is the property of TFC, its charitable and ticket partners and/or its corporate sponsors and is protected by United States, Canadian and international copyright laws.

You may only use this Site to make legitimate purchases or charitable payments and shall not use this Site for any other purposes, including without limitation, to make any speculative, false, deceptive, or fraudulent ticket or ticket package (collectively, “Ticket” or “Tickets”) purchases or charitable payments.

Purchase Policy

  • You may only be eligible to purchase Tickets through the Site if you have provided the order information requested and agreed to our Terms.
  • You are eligible to purchase Tickets through the Site only if you agree to direct certain payments to our partner charities, the amount of which is determined by TFC in its discretion and which is clearly identified on the Site prior to your purchase of any Tickets.
  • Unless otherwise stated, TFC acts as the agent to the event promoters who are promoting or otherwise providing the events for which you purchase Tickets. Your use of the Site means you will be separately (a) directing payments to designated charities and (b) purchasing a Ticket to a sports and/or entertainment event.
  • Tickets purchased on this Site are subject to a per Ticket service fee and per order delivery fee which will be identified on the Site prior to your purchase of any Tickets and which are non-refundable.
  • Each Ticket that you purchase is a license to attend a particular event, and is subject to the additional terms set forth on that Ticket.
  • All Ticket prices for events that occur in the United States or in Canada are stated in U.S. Dollars.
  • Event dates, times, venues and subject matter, which are listed on the Ticket, may change. It is up to you to verify the most recent changes. Please contact the box office or refer to local listings for any changes. We are not responsible for notifying you of any such changes.
  • Venue maps may change. We reserve the right to change or upgrade the seats listed on your Tickets if necessary.
  • Upon confirmation of your decision to direct a payment to our partner charities and to purchase a Ticket, TFC charges your credit card separately for (a) the amounts designated for charity and (b) the purchase price of the Ticket, plus any service fees, delivery fee and taxes. The credit card charge concerning the amounts designated for charity are paid into a separately managed bank account and held for the benefit of the applicable charities. The credit card charge concerning the purchase price of the Ticket, plus any service fees, delivery fees and taxes, is paid into a separately managed bank account at a different financial institution.
  • By submitting your order to make payments to our partner charities and to purchase a Ticket, you grant TFC permission to charge your credit card for those transactions. Once you have submitted your order, your purchase is non-refundable and your order cannot be changed. Neither the amount designated for charity nor the purchase price of the Ticket nor any taxes will be returned to you under any circumstances unless TFC cancels your order. Service fees and delivery fees are non-refundable under any circumstances.
  • We are not involved with the event for which you are purchasing Tickets. If you have a dispute with the event promoter or team/performers, you hereby release TFC and all affiliated companies, officers, directors, agents, parents, subsidiaries, legal representatives and employees (the “TFC Parties”) from, and the TFC Parties shall not be responsible for claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such dispute. You further acknowledge and agree that the TFC Parties shall not be liable for, and you hereby release each from, any loss or liability incurred by you or persons claiming by or through you with respect to attendance at an event for which Tickets were purchased on this Site.
  • You hereby release TFC from any responsibility for missed confirmations or orders due to information provided by you in error. It is your responsibility to ensure that all of the information you provide in connection with your order is accurate and that you continue to have access to and to read email related to any email address you provide.
  • TFC reserves the right to refuse or cancel any Ticket or Ticket order without liability for any reason, including without limitation in the event of becoming aware that a Ticket is listed or charged at an incorrect price or you are able to purchase more tickets than our purchasing guidelines allow, regardless of whether because of human error or a transactional malfunction of this website or other TFC operated or related system. If your credit card has already been charged for the purchase and your order is canceled or changed, TFC shall immediately issue a credit to your credit card account for the amount affected.
  • Per our agreements with Ticket sources, as a condition to your purchase of Tickets on the Site, you agree not to resell any Tickets purchased through the Site.

Donations to Our Partner Charities; Costs Borne by Our Partner Charities

The amount of donations designated to our partner charities are charged in a separate transaction on your credit card and shall be held in a separately managed bank account until a time designated by TFC, which will be a set period of time following a particular event, or in certain cases where TFC is acting as agent for a promoter, performer, team or league after completion of the tour or designated series of events. The amount of the donation is subject to change at any time and without notice until your order is confirmed. Once you have submitted your order, your purchase is non-refundable and your order cannot be changed.

Your donations to our partner charities will be net of bank and credit card processing and related fees, software licensing fees and any ticket source fees associated with a particular event. Such amounts typically constitute no more than 15% of any particular payment designated for our partner charities, except in circumstances where Ticket source fees are included. Ticket source fees are determined on an event-by-event basis by/with our Ticket sources.

Delivery Policy

When a delivery method requiring shipment is selected, we ship all Tickets via FedEx. A signature is required for all shipped deliveries; we do not deliver to post office boxes. Occasionally, we also offer Will Call pick-up at the venue and pick-up instructions will be identified on the Site prior to your purchase of any Tickets or communicated via the email address you provide at the time of your order. Occasionally, we also offer pick up and/or delivery via courier and set-up instructions will be identified on the Site prior to your purchase of any Tickets or communicated via the email you provide at the time of your order.

Our policy is to process and ship orders within one (1) to three (3) business days of us physically obtaining Tickets from our Ticket sources. For many events, however, we do not receive Tickets from our Ticket sources until up to seven (7) days of the event. If we have the Tickets physically in our possession at the time of your order, we will process and ship the order within 72 hours of receipt. In other cases, where we do not have the Tickets physically in our possession at the time of your order, we will ship your order within 24 hours of receiving Tickets from the Ticket source. Once your order has been processed and shipped, you will receive your order tracking information via email confirmation. Please note that we may not receive Tickets from the Ticket source until 48 hours prior to an event. No refunds will be available for delayed delivery in compliance with this policy.

Event Cancellation Policy

Occasionally, events are cancelled or postponed by event management, the promoter, band, team or venue. You are solely responsible with respect to any changes in the date, time or place of any event for which you purchase Tickets. No refunds are available for any postponed event if your original Tickets will be honored for the new date of the rescheduled event. If an event is cancelled, the cancellation policy will be determined by the particular venue and can vary from event to event. Generally, event management will refund the face value of the Ticket after the cancellation is confirmed. Should this occur, we will provide any refund procedures for that event on this Site or via email, but TFC is not responsible for any refund of the Ticket price which may be owed to you by event management, the event promoter, band, team or venue.

With respect to payments to your designated charities, TFC will generally give you the option of being refunded the payment or of allowing the charities designated to receive the directed funds. For exact instructions on any cancelled event, please check the event information online provided by event management, the event promoter, band, team or venue or contact us at customerservice@ticketsforcharity.com. Service fees and delivery fees are non-refundable under any circumstances.

Tax Treatment of Donations Directed to Partner Charities - Disclaimer

TFC and our charity partners make no representation as to whether all or any portion of the donations to partner charities is tax deductible. Please consult with your tax advisor to determine whether a deduction of any portion of such amount is allowable. TFC shall have no liability for any claim by any federal or state tax authority with respect to your characterization of this transaction on your federal and state tax returns.

User Submissions to the Site

The Site may provide you with opportunities to contribute to the Site, which may include submitting personal information. Anything that you or other Site users contribute to the Site will be referred to as "User Content". TFC is not liable or responsible for any User Content. Any contributions made by third parties to the Site do not necessarily represent the beliefs or opinions of TFC. TFC cannot review User Content before it is displayed on this Site. Users can be held liable and responsible for any illegal or otherwise prohibited User Content they provide to the Site, including, but not limited to, infringing, obscene, defamatory or offensive content.

Offline Conduct

Although TFC cannot monitor the conduct of users off of the Site, it is also a violation of these Terms to use any information obtained from this Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit or sell to any Site user without his/her prior explicit consent.

Commercial Use

Nothing on this Site may be used by visitors to this Site for any commercial purposes such as to conduct sales of tickets, ticket packages, merchandise or services of any kind. Prior written consent must be obtained to make commercial offers of any kind, whether by advertising, solicitations, links, or any other method of communication. You may not resell or link to other sites for the purpose of selling Tickets of any kind. Any violators of this provision will be investigated and pursued through legal action, which includes removing the offending communication from the Site and excluding such violators from use of the Site. We reserve the right to block or deny access to or cancel an order of any person known or reasonably believed to be associated with any unauthorized reseller, or utilizing automated means to process or place orders.

Access and Interference

You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy any pages or content contained on this Site or for any other unauthorized purpose without first obtaining our prior expressed written permission. You agree that you will not use any device, software or method to interfere or attempt to interfere with the proper functioning of the Site. You also agree that you will not engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure. You agree that you will not access, reload or "refresh" transactional event or Ticketing pages, or make any other request to transactional servers, more than once during any three second interval. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for your own personal, non-commercial use) from the Site without the prior expressed written permission of TFC.

Unauthorized Use of the Site

Illegal and/or unauthorized use of the Site, including, but not limited to, unauthorized Ticket sales, unauthorized framing of or linking to the Site, or unauthorized use of any robot, spider or other automated device on the Site, will be investigated and appropriate legal action will be taken, including without limitation, civil, criminal and injunctive relief.

Inappropriate Usage of the Site

You agree not to use this Site for unlawful purposes or in an unlawful manner. You agree to comply with all applicable local, state, federal and international laws, statutes and regulations regarding use of the Site. You agree not to use or permit anyone to use information provided through the Site for any unlawful or unauthorized purpose. You agree not to register under a false name or use an invalid or unauthorized credit card.

Acknowledgement Concerning Our Ownership of Intellectual Property

You hereby acknowledge and agree that all intellectual property contained on the Site, including, without limitation, all patents, trademarks, trade names, service marks, copyrights and trade secrets, is owned exclusively by or licensed specifically to TFC and is either our sole property or the property of those who have licensed it to us and that nothing contained on the Site or otherwise in the Terms shall be deemed to grant to you any right therein.

Representations and Warranties by You

As a condition to your use of the Site, you represent and warrant to TFC that (a) you will comply with all applicable federal, state and local laws and regulations as concerns your conduct on this Site, any commercial transaction involving the Site or any other activity in which you engage on the Site, (b) you are 18 years of age or older, and (c) any information you provide to us, to other members of the Site, or to visitors of the Site

  • is not false, inaccurate, misleading or fraudulent;
  • is not obscene or defamatory;
  • does not involve the sale of counterfeit or stolen items;
  • does not infringe any third party's intellectual property, including, without limitation, any patent, trademark, copyright, trade secret or other right;
  • does not violate any law, statute, ordinance or regulation; and,
  • does not contain any viruses or any programming that is intended to damage, interfere with, intercept or expropriate any system, data or personal information.

Indemnification of TFC by You

You hereby agree to indemnify and hold harmless TFC and any parent, subsidiary, affiliate, officer, director, attorney, agent and employee of TFC (collectively, the “Indemnified Parties”), against all liabilities, costs and expenses (including reasonable attorneys' fees) incurred by any such Indemnified Parties based upon (a) your violation of any of the covenants, agreements, representations and warranties set forth above, (b) any third party or governmental claim that involves, relates to or concerns any federal, state or county tax obligation or amounts due or owing under any tax regulation, law, order or decree or (c) that otherwise arise out of any claim asserted by a third party that involves, relates to or concerns any of your actions or omissions on this Site or at an event for which you purchased Tickets.

Age and Responsibility

If you use this Site, you are responsible for maintaining the confidentiality of the personal account information you submit. You agree to accept responsibility for all activities that occur under your account. You represent that you are of sufficient legal age to use this Site. You understand that you are financially responsible for all uses of this Site by you and those using your personal information.

Violation of the Terms

We may investigate complaints and violations of the Terms. You agree to cooperate fully with any investigation we may conduct with respect to a violation of the Terms. You understand and agree that without prior notice and in our sole discretion, we may take such action as we deem appropriate in our sole discretion with respect to your relationship with the Site and your purchase of Tickets, including, without limitation, terminating your access to the Site, canceling your order or employing any other remedy available, if we believe that (a) your conduct violates or is inconsistent with these Terms or violates the law or the rights of TFC, a client or partner of TFC or another user of the Site, or (b) the information you provided concerning yourself is inaccurate or cannot otherwise be authenticated. You agree that monetary relief may not render a sufficient remedy to TFC for violations of these Terms and you consent to injunctive or other equitable relief for such violations. TFC is not required to provide any refund to you if your access to this Site is terminated because you have violated these Terms or any of TFC’s rights.

You agree that TFC may report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other relevant third parties. We will cooperate to ensure that any violators are prosecuted to the fullest extent of the law.

You authorize us to withhold payment or charge your credit card account if (a) we reasonably believe that you have committed fraud or other illegal act or omission during any activity on the Site; or (b) you otherwise owe us a specific amount. If any of these things happen, we may also offset from any amount TFC owes you, such amount that you owe TFC.

Disclaimer of Warranties and Limitation of Liability

TFC does not promise that the Site will be free of error, uninterrupted, or that it will provide specific result from use of any content, search, or link found on this Site. The Site and its content are delivered on an “as-is” and “as-available” basis. TFC cannot guarantee that files you download from the Site will be virus-free or free of harmful features. We expressly reserve the right to modify, suspend or discontinue service on the Site at any time with no notice to you.

TFC expressly disclaims all warranties, express or implied, including also any implied warranties of merchantability and fitness for a particular purpose. TFC will not be liable for and expressly disclaims any damages of any kind arising from the use of this Site including without limitation, direct, indirect, incidental, and punitive and consequential damages or for lost profits, revenues, or business opportunities, even if TFC has been advised of the possibility of such damages.

Because some jurisdictions do not allow exclusions of implied warranties or limitations on how long an implied warranty lasts, the limitations set forth above may not apply to you.

Your use of the Site constitutes your unconditional consent to all of the terms and conditions set forth herein and an acknowledgement of the disclaimers and limitations of liability set forth in the Terms.

Miscellaneous Provisions

This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Massachusetts, without regard to its provisions governing conflicts of law. No agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by this Agreement. This Agreement (and all documents incorporated by reference) constitutes the entire agreement between the parties pertaining to the subject matter hereof and supersedes all prior agreements and understandings between the parties hereto with respect to the subject matter hereof, whether written or oral. No amendment, modification or supplement of any provision of this Agreement will be valid or effective unless made in accordance with the express terms of this Agreement. If any provision of this Agreement is held to be invalid or unenforceable under any circumstances, its application in any other circumstances and the remaining provisions of this Agreement shall not be affected. You may not assign or transfer this Agreement, or any of its rights or obligations, without the prior written consent of TFC, which TFC may withhold in its sole discretion. Nothing in this Agreement is intended to confer benefits, rights or remedies unto any person or entity other than the parties hereto and their successors and permitted assigns.
