The following are the Terms and Conditions ("Terms") that govern use of this website, www.ticketsforcharity.com, our staff and our call centers and email correspondence via our customer service representatives and the use of any third party website, call center or customer service representative with which we have contracted or affiliated to provide services (collectively, the "Site"), and any transaction or potential transaction, including without limitation any ticket purchase or potential ticket purchase and donation or potential donation, with or facilitated by Tickets for Charity, LLC (the "Services"). Tickets for Charity, LLC is a subsidiary of Charity Partners, Inc.

By completing the order of a ticket, suite, event pass, parking pass, and/or or experiential package for admittance to a live event (each, a "Ticket" and collectively, "Tickets"), a Charitable Payment, a Ticket Donation or Ticket Allocation or other transaction governed by these Terms, you agree to accept these Terms and to become a Member of this Site and to comply with these Terms and all applicable laws and regulations governing the Site. A "Member" is defined as any person who has an email address in the Tickets for Charity database, put there through any means, and/or is a Ticket Source. Tickets for Charity, LLC ("TFC", "we" or "us") reserves the right to modify these Terms at any time, effective immediately upon posting on the Site. Please check this page of the Site periodically for modifications to these Terms. Your continued use of the Site and the Services following our posting of any revised Terms will constitute your acceptance of the revised Terms. If you violate any of these Terms, TFC may terminate your access to and use of the Site, cancel any Ticket Order, Charitable Payment, Ticket Donation or Ticket Allocation and/or take appropriate legal action against you. If you do not agree with the Terms or any revised version of the Terms, do not use or continue to use the Services or this Site.

1. Privacy Policy

1.1. The Terms expressly incorporate our Privacy Policy, which may be found here.

2. Permitted Use

2.1 You agree that you are only authorized to visit, view and to retain a copy of pages of this Site for your own use in connection with the purchase (e.g. via a Ticket Order), sale (e.g. via a Ticket Allocation) or donation of a Ticket (e.g. via a Ticket Donation) from or through us, and that you shall not copy, download, publish, modify or otherwise distribute any content found on this Site for any purpose other than to review membership, event and promotional information, or to make a Ticket Order, Charitable Payment, Ticket Donation or Ticket Allocation, unless otherwise specifically authorized by us to do so. You also agree not to deep-link to the Site for any purpose, including without limitation, to market or promote merchandise, unless specifically authorized by us to do so. The content and software on this Site is the property of TFC, its Partner Charities, its Ticket Sources and/or its corporate partners and is protected by United States, Canadian and international copyright laws.

2.2. You may only use this Site to make legitimate Ticket Orders, Charitable Payments, Ticket Donations or Ticket Allocations and shall not use this Site for any other purposes, including without limitation, to make any speculative, false, deceptive, or fraudulent Ticket Orders, Charitable Payments, Ticket Donations, Ticket Allocations or other transactions.

3. Ticket Order Policy

3.1. You are only eligible to purchase a Ticket through the Site (a "Ticket Order" or "Order") if you have provided the order information requested by TFC and agreed to these Terms.

3.2. You are only eligible to initiate and complete a Ticket Order if you agree to direct certain payments to our Beneficiary Charities (a "Charitable Payment" or "Donation Amount"), the amount of which is determined by TFC in its sole discretion and which is clearly identified on the Site prior to your purchase of any Ticket.

3.3. TFC may be acting as the agent to the persons who are either promoting or otherwise producing the events for which you purchase a Ticket or who possess the Ticket for which TFC is facilitating a sale.

3.4. Your use of the Site to complete a Ticket Order means you will be separately (a) purchasing a Ticket to an event and (b) directing payments to Partner Charities.

3.5. Ticket Orders are subject to a per Ticket service fee and per order shipping and handling fee (together with any other fees, "Fees") which will be identified on the Site prior to the completion of any Ticket Order. All Fees are non-refundable.

3.6. Each Ticket that you purchase is a license to attend a particular event at a venue, and is subject to the additional terms set forth on that Ticket or by that venue or Ticket Source, including any policies or restrictions around redemption of package elements or experiences (e.g. VIP access, suites).

3.7. All prices are stated in U.S. Dollars, unless specifically noted.

3.8. Event dates, times, venues, venue configurations, specific seat location and subject matter, which are listed on the Ticket and Site, may change. We are not responsible for notifying you of any such changes. It is up to you to verify the most recent changes. Please contact the venue's box office or refer to local listings or the website for the applicable venue, performer or team for any changes. We reserve the right to change or upgrade the seats listed on your Ticket if necessary in order to conform to any change in venue seating required by the event promoter, venue, performer, team or other party.

3.9. Tickets available for purchase via TFC may have been made available by a primary source (such as an event promoter, venue, performer, or team), a Partner Charity or another third party source ("Non-Organizer Source"), (each, a "Ticket Source" and collectively, "Ticket Sources").

3.10. Tickets controlled by TFC may on occasion be sold through a third-party promotional vendor. If you are purchasing a TFC Ticket through a third-party, you are subject to that vendor's terms and conditions, as well as these Terms. A third-party vendor may include additional Fees associated with the transaction conducted directly with that vendor. TFC is not responsible for disclosure of any third-party fees, nor any dispute arising from a transaction conducted directly with a third-party vendor.

3.11. By submitting your Order, you grant TFC permission to charge your credit card for each of the amount of the Charitable Payment and the total amount of the price paid for the Ticket ("Ticket Price") and any Fees associated with your Order. We obtain two separate authorizations from your credit or debit card, one authorization for the Ticket Price and Fees, and one authorization for any Charitable Payment; and the authorizations remain on your credit or debit card until the Ticket Order is completed or cancelled. Although an authorization is not a charge, debit card issuers may place a hold on funds when an authorization is obtained by TFC. Please contact your financial institution to better understand their policies on such matters.

3.12. Upon purchase, your credit card may reflect multiple charges that equal, in total, the Ticket Price and any Fees together with any associated Charitable Payment. You will be charged separately for (1) the amount of the Charitable Payment and (2) the amount of the Ticket Price and applicable Fees.

3.13. In cases where cash or check payments are used, TFC will allocate the payments in accordance with its credit card payment policy outlined above.

3.14. Any transactions tied to vouchers or codes are subject to any rules, terms and/or conditions that are related specifically to the vouchers, codes, stated promotion and/or event.

3.15. Once you have submitted your Order, your purchase is non-refundable and your Order cannot be changed. Neither the amount designated for charity nor the Ticket Price nor Fees nor any taxes will be returned to you under any circumstances unless TFC, in its sole discretion, cancels or changes your Ticket Order. Please see Section 5 regarding our Event Cancellation, Postponement and Rescheduling Policy for Ticket Orders

3.16. Fees (e.g. service fees and/or shipping and handling fees) are non-refundable under any circumstances unless TFC, in its sole discretion, cancels or changes your Ticket Order, in which case all or a portion of such Fees may be refunded in the sole discretion of TFC.

3.17. TFC may, in its sole discretion, provide certain information about you to third parties, which third parties may include Ticket Sources and/or Beneficiary or Recipient Charities (together, our "Partner Charities"). Please see our Privacy Policy for additional information on how we may share your information.

3.18. Generally, we are not involved with the event for which you are purchasing a Ticket. You hereby release TFC and all of its affiliated companies, officers, directors, managers, members, agents, parents, subsidiaries, legal representatives and employees (the "TFC Parties") as well as any charities receiving all or a portion of your Charitable Payment (each, a "Beneficiary Charity") and any Ticket Source from, and the TFC Parties, Partner Charities and Ticket Sources shall not be responsible for, claims, demands, liabilities, expenses and damages (whether actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the event for which you are purchasing a Ticket, or any dispute or other claim you may have with the event promoter, venue, performer, team or other third party. You further acknowledge and agree that the TFC Parties, Partner Charities and Ticket Sources not be liable for, and you hereby release each from, any loss or liability incurred by you or persons claiming by or through you with respect to attendance at an event for which a Ticket was purchased on this Site.

3.19. TFC may, in limited circumstances, work with or partner with third parties, such as hotels, restaurants, and coach and shuttle services (each, a "Service Provider"), in the preparation and promotion of certain experiential packages in connection with the event for which you are purchasing a Ticket. You hereby release the TFC Parties, as well as any Partner Charity and any Ticket Source from, and the TFC Parties, Partner Charities and Ticket Sources shall not be responsible for, claims, demands, liabilities, expenses and damages (whether actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the Service Provider or any dispute or other claim you may have with the Service Provider. You further acknowledge and agree that the TFC Parties, Partner Charities and Ticket Sources shall not be liable for, and you hereby release each from, any loss or liability incurred by you or persons claiming by or through you with respect to any Ticket purchased on this Site.

3.20. You hereby release the TFC Parties from any responsibility for missed Ticket Order confirmations ("Order Confirmations") or Ticket Orders fulfilled via email ("e-Tickets") due to information provided by you in error (e.g., your email address) or due to your email's SPAM filter. It is your responsibility to ensure that all of the information you provide in connection with your Ticket Order is accurate and that you continue to have access to and read email related to any email address you provide.

3.21. TFC reserves the right to refuse or cancel any Ticket Order without liability for any reason, including without limitation in the event we become aware that a Ticket is listed or charged at an incorrect price (e.g. Ticket Price, Donation Amount or Fees) or you are able to purchase more Tickets than our purchasing guidelines allow, regardless of whether because of human error or a transactional malfunction of this website or other TFC-operated or related system. If your credit card has already been charged for the Ticket Order and your Ticket Order is cancelled or changed, in certain circumstances TFC will immediately issue a credit(s) to your credit card account for the amount(s) affected.

3.22. TFC is not responsible for any other costs or expenses incurred by you or any other third party in connection with your purchase of Tickets (such as travel expenses, room, board, etc.), including without limitation, upon receipt of our Order Confirmation or cancellation of any Ticket Order or any change by the event promoter, venue, performer or team or other third party related to the event and/or related Service Provider. TFC is also not responsible for any legal costs or fines accrued by the ticketholder for any reason related to the licensing of tickets.

3.23. The resale of any Ticket purchased through the Site is strictly prohibited, and you, as a condition to your Ticket Order, hereby agree not to resell any Ticket purchased through the Site for any purposes. TFC reserves the right to refuse or cancel any Ticket Order without liability for any reason, including without limitation in the event we become aware that a Ticket has been purchased via TFC with the intent to resell for commercial purposes. TFC retains all rights to take said action at its discretion and reserves the right to make changes to this policy at any time. If your credit card has already been charged for the Ticket Order and your Ticket Order is cancelled or changed, TFC will immediately issue a credit(s) to your credit card account for the amount(s) affected.

3.24. You acknowledge that complying with federal, state, local and foreign laws is your responsibility, and failure to comply with federal, state, local and foreign laws could lead to actions deemed appropriate by law enforcement. TFC bares no responsibility for the actions of the ticket licensee or ticketholder.

4. Shipping and Handling for Ticket Orders

4.1. TFC offers a number of shipping and handling methods (e.g. Physical Ticket Shipments, Pick-Up at Designated Location, Check-in at Venue, e-Ticket Delivery) that may vary, such as by event or time until an event. Available methods are listed prior to checkout with the associated per-order shipping and handling fee, as applicable. All methods and associated Fees are subject to change at any time and without notice.

5. Event Cancellation, Postponement and Rescheduling Policy for Ticket Orders

5.1. Occasionally, events are cancelled, postponed, rescheduled, or, in the case of playoff series games, deemed not necessary by the event promoter, venue, performer, or team. You are solely responsible with respect to tracking any changes in the date, time or place of any event for which you purchase Tickets. No refunds are available for any postponed or rescheduled event if your original Tickets will be honored for the new date of the rescheduled event.

5.2. If an event is cancelled rather than rescheduled, the cancellation policy will be determined by the particular event organizer and can vary from event to event. Should this occur, we will provide any refund procedures for that event on this Site or via the email address you provided at the time of your Order. If you do not hear from us within two (2) days of the event, please contact us at customerservice@ticketsforcharity.com for exact refund information.

5.3. If an event is cancelled rather than rescheduled, TFC will generally give you the option of being refunded the Charitable Payment or of allowing the charity(ies) designated to receive the directed funds.

5.4. Fees (e.g. service fees and/or shipping and handling fees) are non-refundable under any circumstances unless TFC, in its sole discretion, cancels or changes your Ticket Order, in which case all or a portion of such Fees may be refunded in the sole discretion of TFC.

6. Charitable Payments (or "Donation Amounts") associated with Ticket Orders

6.1. The Donation Amount per Ticket is subject to change at any time and without notice until you receive your Order Confirmation. Once you have submitted your Order, your purchase is non-refundable under any circumstances unless TFC, in its sole discretion, cancels or changes your Ticket Order.

6.2. The Charitable Payment designated to our Beneficiary Charities associated with your Ticket Order (noted as the "Total Donations" on the Site prior to placing your Order) is charged in a separate transaction on your credit card and held in a separately managed bank account until the funds are distributed to Partner Charities at a time designated by TFC, typically on a quarterly basis. Cash, check and alternate payment methods are typically handled like credit card payments, though the process is not automated and may vary accordingly.

6.3. Your Charitable Payment to our Beneficiary Charities will be distributed net reimbursement to TFC of certain typical out-of-pocket expenses (e.g. bank and credit card processing, affiliate and related fees) associated with a particular event (together, the "Direct Transaction Costs"), when applicable. Such amounts typically constitute no more than 15% of any particular payment designated for our Partner Charities, except in circumstances where Ticket Source fees and inventory management fees are included. Ticket Source fees are determined on an event-by-event basis by our Ticket Sources, and inventory management fees are determined on an event-by-event basis by TFC.

8. Corporate Ticket Donation Policy

8.2. For the purposes of the Terms of this Section 8, all references to "you" or "your" refer to the entity donating Tickets (the "Ticket Donor") and not to the entity's designee.

8.3. TFC, in its sole discretion, may enable you to donate Tickets to our Partner Charities through the Site for charitable resale or for physical distribution to the Partner Charity for use ((a "Ticket Donation")). TFC has the right to reject any Ticket Donation at any time and for any reason whatsoever (e.g. seat locations, price level, event type, quantity of tickets, etc.).

8.4. You are only eligible to initiate and complete a Ticket Donation if you have provided the information requested by TFC and have agreed to these Terms.

8.5. You are only eligible to initiate and complete a Ticket Donation if you have actual and legal possession of the relevant Tickets in either physical or electronic form, and have the necessary authorization to make such donations.

8.6. You are only eligible to initiate and complete a Ticket Donation if you agree to donate Tickets to one or more of our Partner Charities that are - at the time of your Ticket Donation - determined eligible to receive a Ticket Donation by TFC (an "Eligible Recipient Charity"). The list of Eligible Recipient Charities is determined by TFC in its sole discretion.

8.7. You are only eligible to initiate and complete a Ticket Donation if you agree to allow one or more of Beneficiary Charities to be eligible to receive Donation Amounts associated with the charitable resale of the Donated Tickets. The list of Beneficiary Charities is determined by TFC in its sole.

8.8. Generally, the amount of the Ticket Donation is the published face value (usually the dollar value printed on the "face" or front of the Ticket or, in the event a certain Ticket is printed without the dollar value on the face of the Ticket, the estimated dollar value of a comparable Ticket for similar seating at the same or similar event) and is determined by the event promoter, venue, performer or team. In certain cases, Tickets are sold together with additional rights, benefits, or privileges, and under these circumstances the amount of the Ticket Donation is comprised of the published face value as described above together with the estimated dollar value of said additional rights, benefits, or privileges, and is also determined by the primary Ticket Source or TFC (collectively, the "Face Value").

8.9. Once you have completed your Ticket Donation, when the Donated Ticket is made available for purchase via TFC, the Ticket Price (which may be more than, less than or equal to the Face Value), Donation Amount, Fees and list of Beneficiary Charities will be determined by TFC in its sole discretion and clearly identified on the Site prior to a purchase of any Ticket.

8.10. Unless otherwise noted at the time of your Ticket Donation, you are responsible for the costs and liabilities (e.g. the cost to ship) of transferring any Ticket to TFC or TFC's designee (e.g. a purchaser) on behalf of the Eligible Recipient Charity. Until such time as TFC confirms receipt of the Ticket via email (i.e. a "Donated Ticket Confirmation Email") to the Ticket Donor, liability for any loss or delay relating to the receipt of the Ticket by TFC is the sole responsibility of the Ticket Donor.

8.11. It is your responsibility to ensure that all of the information you provide in connection with your Ticket Donation is accurate and that you continue to have access to and to read email related to any email address you provide at the time of your Ticket Donation. Your Donated Ticket Confirmation Email will be sent from corporatetickets@ticketsforcharity.com and it is your responsibility to check any SPAM filters and/or add corporatetickets@ticketsforcharity.com to your address book to ensure delivery.

8.12. TFC is not responsible for any loss, delay or theft of Tickets occurring during or after the shipment to TFC or TFC's designee until TFC confirms receipt via your Donated Ticket Confirmation Email). Lost or stolen Tickets cannot be replaced and you should handle your Tickets with care. We recommend that you insure any shipment of Donated Tickets to TFC.

8.13. TFC reserves the right, in its sole discretion, to reject any Ticket Donation at any time for any reason whatsoever and shall have no liability to you or any Partner Charity on account of such rejection.

8.14. Any Ticket Donation must be completed by a reasonable time before the related event, and in no event will any Ticket Donation be valid if TFC receives the Ticket less than 48 hours prior to the start time of the event printed on the Ticket or listed by the venue (where an original event date and time has been rescheduled). What constitutes "reasonable" is in the sole discretion of TFC and depends on the specific situation, but generally means that TFC receives any Ticket to be donated no later than seven (7) business days prior to the event. Notwithstanding the foregoing, TFC reserves the right, in its sole discretion, to determine whether in any situation an attempted Ticket Donation has been made within a reasonable time before an event, and to reject any Ticket Donation that TFC determines was not made within a reasonable time before an event.

8.15. Unless and until TFC or TFC's designee receives actual possession of any physical Ticket or any electronic Ticket and verifies the information provided with your Ticket Donation, your Ticket Donation is neither valid nor complete. Only after you receive the Ticket Donation Confirmation Email from TFC have you made a valid and complete Ticket Donation. Once you receive the Donated Ticket Confirmation Email from TFC, any Donated Ticket immediately becomes the property of the designated Partner Charity (each, a "Recipient Charity" and collectively, the "Recipient Charities").

8.16. All Ticket Donations are final regardless of changes in event date, event time (e.g. due to rain delays), venue, seat location and subject matter. Once you have completed a Ticket Donation, you are no longer the ticketholder of that Ticket and you cannot use the Ticket yourself or attempt to resell, reproduce, or redistribute the Ticket.

8.17. If you, at any time and regardless of whether because of human error or a transactional malfunction of this website or other TFC-operated or related system, fail to deliver the Tickets you have donated or deliver invalid, fraudulent or misrepresented Tickets, we reserve the right to cancel the Ticket Donation, and hold you liable for any and all charges incurred by each of TFC and the Eligible Recipient Charity and to take appropriate legal action, including without limitation, civil, criminal and injunctive relief. If you, at any time and regardless of whether because of human error or a transactional malfunction of this website or other TFC-operated or related system, deliver Tickets different from those you intended to donate, we reserve the right to cancel the Ticket Donation, return the Tickets to you at your sole expense and hold you liable for any and all charges or other liability incurred by each of TFC and the Eligible Recipient Charity.

8.18. Unless otherwise stated, TFC acts as the agent to the Eligible Recipient Charities that are available to receive Ticket Donations. Your use of the Site to make a Ticket Donation means you will be directing full authorized rights to the Ticket(s) to one or more Recipient Charities.

8.19. Tickets received through a Ticket Donation (a "Donated Ticket") may be sold on this Site or otherwise distributed or used in TFC's discretion and as permitted by the Recipient Charity. If TFC sells the Donated Ticket, the Ticket Price will be directed to the Recipient Charity as designated by the Ticket Donor. Any Donation Amounts collected by TFC from the purchaser of the Ticket may be directed to one or more Beneficiary Charities selected by the Ticket purchaser from a list of Partner Charities determined solely by TFC.

8.20. The proceeds of the Ticket Price (the "Ticket Proceeds") in connection with a Ticket Donation will be distributed to Recipient Charities net reimbursement to TFC of Direct Transaction Costs and any separate revenue sharing arrangement between you and TFC. See Section 6 for more detail on Direct Transaction Costs.

8.21. The proceeds of the Donation Amounts (the "Charitable Proceeds") in connection with a Ticket Donation will be distributed directed to Beneficiary Charities net reimbursement to TFC of Direct Transaction Costs. See Section 6 for more detail on Direct Transaction Costs.

8.22. TFC is not required to provide to the Ticket Donor any transaction information regarding the purchase of any Donated Tickets. TFC may, in its sole discretion, provide to the Ticket Donor certain information regarding the party who purchases a Donated Ticket. Please see our Privacy Policy for additional information.

8.23. Generally, we are not involved with the event for which you are donating a Ticket. You hereby release the TFC Parties, Partner Charities and Ticket Sources from, and the TFC Parties, Partner Charities and Ticket Sources shall not be responsible for, claims, demands, liabilities, costs, expenses and damages (whether actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the event for which you are donating Tickets or any dispute or other claim you may have with the event promoter, venue, performer, team or other third party. You further acknowledge and agree that the TFC Parties shall not be liable for, and you hereby release each from, any loss or liability incurred by you or persons claiming by or through you with respect to attendance at an event for which Tickets were donated on this Site.

8.24. TFC may, in limited circumstances, work with or partner with a Service Provider in the preparation and promotion of certain experiential packages in connection with the event for which you are donating a Ticket. You hereby release the TFC Parties, as well as any Partner Charity and any Ticket Source from, and the TFC Parties, Partner Charities and Ticket Sources shall not be responsible for, claims, demands, liabilities, costs, expenses and damages (whether actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the Service Provider or any dispute or other claim you may have with the Service Provider. You further acknowledge and agree that the TFC Parties, Partner Charities and Ticket Sources shall not be liable for, and you hereby release each from, any loss or liability incurred by you or persons claiming by or through you with respect to any Ticket donated on this Site.

8.25. You hereby release the TFC Parties from any responsibility for all claims, demands, liabilities, costs, expenses and damages (whether actual or consequential) arising out of or relating to the posting or resale of Donated Tickets, including without limitation, the immediate termination of any sponsorships, personal seat license or season tickets, or your ability to purchase tickets from the event promoter, venue, performer or team in the future, including, without limitation, due to the misconduct of the purchaser of any Donated Ticket or any related attendees.

8.26. You hereby release the TFC Parties from any, and the TFC Parties shall have no, responsibility for missed Donated Ticket Confirmation Emails due to information provided by you in error (e.g., an incorrect contact e-mail) or due to your email's SPAM filter.

8.27. You hereby release the TFC Parties from any, and the TFC Parties shall have no, liability to you or any of your affiliates relating to your federal, state, local or foreign tax obligations, including, without limitation, your tax reporting obligations, or any anticipated tax benefits or unanticipated costs or liabilities, associated with the donation of any Donated Ticket. The TFC Parties make no representation or warranty relative to the tax deductibility or the extent of the tax deductibility of any Donated Ticket. You must seek the independent advice of tax professionals with respect to the tax treatment of any Donated Ticket you provide on the TFC platform. See also Section 9 below.

8.28. TFC reserves the right, in its sole discretion, to reject any Ticket Donation at any time for any reason, including without limitation in the event of becoming aware that a Ticket was receipted at an incorrect price or you do not have the right or authority to transfer title to the Tickets, regardless of whether because of human error or a transactional malfunction of this website or other TFC operated or related system, and shall have no liability to you or any Recipient Charity on account of such rejection.

8.29. Once you have received a Donated Ticket Confirmation Email from TFC, your donation is complete and cannot be changed. The Recipient Charity you designated cannot be changed and the Ticket will not be returned to you under any circumstances unless TFC cancels or changes your Ticket Donation and at your sole expense. Any expenses or Fees you incur in the process of delivering Donated Tickets to TFC or TFC's designee on behalf of the Recipient Charity are non-refundable under any circumstances.

8.30. Any cancellation or postponement of the related event does not affect your Ticket Donation and you cannot recover any Donated Ticket once you have received the Donated Ticket Confirmation Email.

9. Disclaimer regarding the Tax Treatment of Ticket Donations

9.1. For Ticket Donations, TFC acts as the agent of our Recipient Charities and any Ticket Donation should be treated as a direct donation to the Recipient Charity. The Recipient Charity, or TFC on behalf of the Recipient Charity, shall provide a receipt acknowledging your Ticket Donation, typically on a quarterly basis. We make no representation as to the tax deductibility of any Ticket Donation to any Recipient Charity.

9.2. The value of the Ticket Donation may be deductible to the Ticket Donor. You must consult with your tax advisor to determine whether a deduction of any portion of the Face Value of the Donated Tickets or any costs associated with delivering the Donated Tickets to TFC or TFC's designee is allowable. TFC and our Partner Charities shall have no liability to you or any other person for any claim by any federal, state, local or foreign tax authority with respect to your characterization of this transaction on your federal, state, local or foreign tax returns. 10. Corporate Ticket Allocation Policy

10.1. TFC is currently only accepting Allocated Tickets from pre-approved corporate partners. If you are interested in becoming an Allocated Ticket Provider, please contact us at corporatetickets@ticketsforcharity.com.

10.2. For the purposes of the Terms of this Section 10, all references to "you" or "your" refer to the entity allocating Tickets (the "Ticket Allocation Provider") and not to the entity's designee.

10.3. TFC, in its sole discretion, may enable you to allocate Tickets for charitable resale through the Site (i.e. make a "Ticket Allocation"). TFC has the right to reject any Ticket Allocation at any time and for any reason whatsoever (e.g. seat locations, price level, event type, quantity of tickets, etc).

10.4. You will only be eligible to initiate and complete a Ticket Allocation if you have provided the information requested by TFC and have agreed to these Terms.

10.5. You will only be eligible to initiate and complete a Ticket Allocation if you have actual and legal possession of the relevant Tickets in either physical or electronic form and have the necessary authorization to make such allocations.

10.6. You will only be eligible to initiate and complete a Ticket Allocation if you agree to allow one or more of Beneficiary Charities to be eligible to receive Donation Amounts associated with the charitable resale of the Allocated Tickets. The list of Beneficiary Charities is determined by TFC in its sole discretion and clearly identified on the Site prior to any Ticket Allocation.

10.7. Generally, the amount of the Ticket Allocation is the published face value (usually the dollar value printed on the "face" or front of the Ticket or, in the event a certain Ticket is printed without the dollar value on the face of the Ticket, the estimated dollar value of a comparable Ticket for similar seating at the same or similar event) and is determined by the event promoter, venue, performer or team. In certain cases, Tickets are sold together with additional rights, benefits, or privileges, and under these circumstances the amount of the Ticket Allocation is the Face Value.

10.8. Once you have completed your Ticket Allocation, when the Allocated Ticket is made available for purchase via TFC, the Ticket Price (which may be more than, less than or equal to the Face Value), Donation Amount, Fees and list of Beneficiary Charities will be determined by TFC in its sole discretion.

10.9. Unless otherwise noted at the time of your Ticket Allocation, you are responsible for the costs and liabilities (e.g. the cost to ship) of transferring any Ticket to TFC or TFC's designee (e.g. a purchaser). Until such time as TFC confirms receipt of the Ticket via email (i.e. a "Allocated Ticket Confirmation Email") to the Ticket Allocation Provider, liability for any loss or delay relating to the receipt of the Ticket by TFC is the sole responsibility of the Ticket Allocation Provider.

10.10. It is your responsibility to ensure that all of the information you provide in connection with your Ticket Allocation is accurate and that you continue to have access to and to read email related to any email address you provide at the time of your Ticket Allocation. Your Allocated Ticket Confirmation Email will be sent from corporatetickets@ticketsforcharity.com and it is your responsibility to check any SPAM filters and/or add corporatetickets@ticketsforcharity.com to your address book to ensure delivery.

10.11. TFC is not responsible for any loss, delay or theft of Tickets occurring during or after the shipment to TFC or TFC's designee until TFC confirms receipt via your Allocated Ticket Confirmation Email). Lost or stolen Tickets cannot be replaced and you should handle your Tickets with care. We recommend that you insure any Ticket shipment to TFC.

10.12. TFC reserves the right, in its sole discretion, to reject any Ticket Allocation at any time for any reason whatsoever and shall have no liability to you or any Partner Charity on account of such rejection.

10.13. Any Ticket Allocation must be completed by a reasonable time before the related event, and in no event will any Ticket Allocation be valid if TFC receives the Ticket less than 48 hours prior to the start time of the event printed on the Ticket or listed by the venue (where an original event date and time has been rescheduled). What constitutes "reasonable" is in the sole discretion of TFC and depends on the specific situation, but generally means that TFC receives any Ticket to be allocated no later than seven (7) business days prior to the event. Notwithstanding the foregoing, TFC reserves the right, in its sole discretion, to determine whether in any situation an attempted Ticket Allocation has been made within a reasonable time before an event, and to reject any Ticket Allocation that TFC determines was not made within a reasonable time before an event.

10.14. Unless and until TFC or TFC's designee receives actual possession of any physical Ticket or any electronic Ticket and verifies the information provided with your Ticket Allocation, your Ticket Allocation is neither valid nor complete. Only after you receive the Allocated Ticket Confirmation Email from TFC have you made a valid and complete Ticket Allocation.

10.15. All Ticket Allocations are final regardless of changes in event date, event time (e.g. due to rain delays), venue, seat location and subject matter. Once you have completed a Ticket Allocation, you are no longer the ticketholder of that Ticket and you cannot use the Ticket yourself or attempt to resell, reproduce, or redistribute the Ticket.

10.16. If you, at any time and regardless of whether because of human error or a transactional malfunction of this website or other TFC-operated or related system, fail to deliver the Tickets you have allocated or deliver invalid, fraudulent or misrepresented Tickets, we reserve the right to cancel the Ticket Allocation, and hold you liable for any and all charges or other liability incurred by TFC and to take appropriate legal action, including without limitation, civil, criminal and injunctive relief.

10.17. If you, at any time and regardless of whether because of human error or a transactional malfunction of this website or other TFC-operated or related system, deliver Tickets different from those you intended to allocate, we reserve the right to cancel the Ticket Allocation, return the Tickets to you at your sole expense and hold you liable for any and all charges incurred by TFC.

10.18. In certain cases where there is a separate agreement between you and TFC, if a Ticket Allocation has not sold as of a predetermined number of days prior to the related event, you may choose to (1) convert the Allocated Ticket into a Donated Ticket, as described Section 8, or (2) allow the Allocated Tickets to remain on sale and expire if unsold at the time of the event. Should you choose to convert an Allocated Ticket into a Donated Ticket, all relevant terms in Section 8 of these Terms will apply.

10.19. In certain cases where there is a separate agreement between you and TFC, TFC may facilitate the return of unsold Allocated Tickets to you at your sole expense.

10.20. In certain cases where there is a separate agreement between you and TFC, TFC may in its sole discretion enable you to allocate tickets for charitable resale via TFC while continuing to make the same tickets available for use or sale through other channels. Tickets received through a Ticket Allocation (an "Allocated Ticket") may be sold on this Site or otherwise distributed or used in TFC's discretion and as permitted by the you. If TFC sells the Allocated Ticket, the Ticket Price will be directed to you. Any Donation Amounts collected by TFC from the purchaser of the Ticket will be directed to one or more Beneficiary Charities selected by the Ticket purchaser from a list of Partner Charities determined solely by TFC.

10.21. The Ticket Proceeds in connection with a Ticket Allocation will be distributed to you net reimbursement to TFC of Direct Transaction Costs and any separate revenue sharing arrangement between you and TFC. See Section 6 for more detail on Direct Transaction Costs.

10.22. The Charitable Proceeds in connection with a Ticket Allocation will be distributed to Beneficiary Charities net reimbursement to TFC of Direct Transaction Costs. See Section 6 for more detail on Direct Transaction Costs.

10.23. TFC is not required to provide to the Ticket Allocation Provider any transaction information regarding any purchase of Allocated Tickets. TFC may, in limited circumstances and in its sole discretion, provide to the Ticket Allocation Provider certain information regarding the party who purchases an Allocated Ticket. Notwithstanding the foregoing sentence, TFC will provide certain information regarding the party who purchases an Allocated Ticket if the event promoter, venue, performer, team or other third party requires a list of names prior to the beginning of the event or if the purchaser and/or a member of his or her party are expelled for disorderly conduct or otherwise ejected from the venue.

10.24. Generally, we are not involved with the event for which you are allocating a Ticket. You hereby release the TFC Parties, Partner Charities and Ticket Sources from, and the TFC Parties, Partner Charities and Ticket Sources shall not be responsible for, claims, demands, liabilities, costs, expenses and damages (whether actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the event for which you are allocating Tickets or any dispute or other claim you may have with the event promoter, venue, performer, team or other third party. You further acknowledge and agree that the TFC Parties shall not be liable for, and you hereby release each from, any loss or liability incurred by you or persons claiming by or through you with respect to attendance at an event for which Tickets were allocated on this Site.

10.25. TFC may, in limited circumstances, work with or partner with a Service Provider in the preparation and promotion of certain experiential packages in connection with the event for which you are donating a Ticket. You hereby release the TFC Parties, as well as any Partner Charity and any Ticket Source from, and the TFC Parties, Partner Charities and Ticket Sources shall not be responsible for claims, demands, liabilities, costs, expenses and damages (whether actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the Service Provider or any dispute or other claim you may have with the Service Provider. You further acknowledge and agree that the TFC Parties, Partner Charities and Ticket Sources shall not be liable for, and you hereby release each from, any loss or liability incurred by you or persons claiming by or through you with respect to any Ticket allocated on this Site.

10.26. You hereby release the TFC Parties from any responsibility for all claims, demands, liabilities, costs, expenses and damages (whether actual or consequential) arising out of or relating to the posting or resale of Allocated Tickets, including without limitation, the immediate termination of any sponsorships, personal seat license or season tickets, or your ability to purchase tickets from the event promoter, venue, performer or team in the future, including, without limitation, due to the misconduct of the purchaser of any Allocated Ticket or any related attendees.

10.27. You hereby release the TFC Parties from any responsibility for missed Allocated Ticket Confirmation Emails or tax liability due to information provided by you in error (e.g., an incorrect contact e-mail) or due to your email's SPAM filter.

10.28. TFC reserves the right, in its sole discretion, to reject any Ticket Allocation at any time for any reason, including without limitation in the event of becoming aware that a Ticket was receipted at an incorrect price or you do not have the right or authority to transfer possession of the Tickets, regardless of whether because of human error or a transactional malfunction of this website or other TFC operated or related system, and shall have no liability to you or any Partner Charity on account of such rejection.

10.29. Once you have received an Allocated Ticket Confirmation Email from TFC, your allocation is complete and cannot be changed. The Allocated Ticket will not be returned to you under any circumstances unless TFC cancels or changes your Ticket Allocation and at your sole expense. Any expenses or Fees you incur in the process of delivering Allocated Tickets to TFC or TFC's designee are non-refundable under any circumstances.

10.30. Any cancellation or postponement of the related event does not affect your Ticket Allocation and you cannot recover any Allocated Ticket once you have received the Allocated Ticket Confirmation Email.

11. Disclaimer regarding the Tax Treatment of Ticket Allocations

12. User Submissions to the Site

Anything that you or other Site users contribute to the Site will be referred to as "User Content". TFC is not liable or responsible for any User Content. Any contributions made by third parties to the Site do not necessarily represent the beliefs or opinions of TFC. TFC cannot review User Content before it is displayed on this Site. Users will be held liable and responsible by TFC for any illegal or otherwise prohibited User Content they provide to the Site, including, but not limited to, infringing, obscene, defamatory or offensive content.

14. Unauthorized Use of the Site

14.1. Unauthorized Use of Site Data. You may not use, display or distribute any information obtained from this Site, including without limitation, demographic information, pricing information, customer service reviews, programs or protocols ("Site Data"), in order to contact, advertise to, solicit or sell to any Site user. Under no circumstances may you use, display or distribute any Site Data in order to harass, abuse, or harm another person.

14.2. Unauthorized Commercial Use. Nothing on this Site may be used by any Site user for any commercial purposes, including without limitation, the initiation and completion of Ticket Orders, Charitable Payments, Ticket Donations, Ticket Allocations or merchandise or services of any kind. Our prior written consent must be obtained to make commercial offers of any kind, whether by advertising, solicitations, links, or any other method of communication or to resell or link to other sites for the purpose of selling Tickets of any kind.

14.3. Unauthorized Access and Interference. You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy any pages or content contained on this Site or for any other unauthorized purpose without first obtaining our prior expressed written permission. You agree that you will not use any device, software or method to interfere or attempt to interfere with the proper functioning of the Site. You also agree that you will not engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure. You agree that you will not access, reload or "refresh" transactional event or Ticket Order pages, Ticket Donation or Ticket Allocation pages, or make any other request to transactional servers, more than once during any three second interval. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for your own personal, non-commercial use) from the Site without the prior expressed written permission of TFC.

14.4. Unlawful Usage of the Site. You agree not to use this Site for unlawful purposes or in an unlawful manner. You agree to comply with all applicable local, state, federal and international laws and regulations regarding use of the Site. You agree not to use or permit anyone to use information provided through the Site for any unlawful or unauthorized purpose. You agree not to register under a false name or use an invalid or unauthorized credit card.

14.5. Legal Action. Unlawful and/or unauthorized use of the Site will be investigated and appropriate legal action will be taken, including without limitation, civil, criminal and injunctive relief and removing any unauthorized content from the Site and excluding such violators from use of the Site. You agree that we may report any of your activity on the Site that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other relevant third parties and acknowledge our right to block or deny access to or cancel a Ticket Order, Charitable Payment, Ticket Donation or Ticket Allocation of any person or corporation known or reasonably believed to be associated with any unauthorized reseller, or utilizing automated means to process or place orders.

15. Acknowledgement Concerning Our Ownership of Intellectual Property

15.1. You hereby acknowledge and agree that all intellectual property contained on the Site, including, without limitation, patents, trademarks, trade names, service marks, copyrights and trade secrets, is owned exclusively by or licensed specifically to TFC and is either our sole property or the property of those who have licensed it to us and that nothing contained on the Site or otherwise in the Terms shall be deemed to grant to you any right therein. One or more issued or pending patents may apply to the Site, including without limitation, 10/575,510 and 11/445,563 and any continuing applications or patents derived therefrom, including any foreign applications or patents.

16. Representations and Warranties by You

16.1. As a condition to your use of the Site, you represent and warrant to TFC that (a) you will comply with all applicable federal, state and local laws and regulations as concerns your conduct on this Site, any commercial and/or charitable transaction involving the Site or any other activity in which you engage on the Site; (b) you are 18 years of age or older; and (c) any information you provide to us, to other members of the Site, or to visitors of the Site:

16.2. To initiate and complete a Ticket Donation or Ticket Allocation, you represent and warrant to TFC that (a) you have full legal possession of any Ticket you intend to donate or allocate and (b) you have the right to transfer full legal possession of any Ticket you intend to donate to our Eligible Charities or allocate for charitable resale.

17. Indemnification of TFC by You

17.1. You hereby agree to indemnify and hold harmless TFC and any TFC Partner (collectively, the "Indemnified Parties"), against all liabilities, costs and expenses (including reasonable attorneys' fees) incurred by any such Indemnified Parties based upon (a) your violation of any of the covenants, agreements, representations and warranties set forth above; (b) any third party or governmental claim that involves, relates to or concerns any federal, state or county tax obligation or amounts due or owing under any tax regulation, law, order or decree; or (c) that otherwise arise out of or relate to any claim asserted by a third party that involves, relates to or arises out of (i) your actions or omissions on this Site, (ii) any actions or omissions of any person using a Ticket purchased on this Site with respect to an event for which you purchased, donated or allocated Tickets, (iii) your purchase, donation or allocation of Tickets, or (iv) any resale or attempted resale of any Ticket.

17.2. If you donate Tickets to our Partner Charities through this Site or allocate Tickets for sale to benefit our Partner Charities through this Site, you hereby additionally agree to indemnify and hold harmless any such Indemnified Parties for any liabilities, costs and expenses (including reasonable attorneys' fees) incurred by you or any other party arising out of or relating to (i) any actual or threatened rescission or termination of season ticket or suiteholder rights and/or right to purchase tickets to future events.

18. Age and Responsibility

18.1. If you use this Site, you are responsible for maintaining the confidentiality of the personal or corporate account information, as applicable, you submit. You agree to accept responsibility for all activities that occur under your account. You represent that you are of sufficient legal age to use this Site. You understand that you are financially responsible for all uses of this Site by you and those using your personal information.

19. Violation of the Terms

19.1. We may investigate complaints and violations of the Terms. You agree to cooperate fully with any investigation we may conduct with respect to a violation of the Terms. You understand and agree that without prior notice and in our sole discretion, we may take such action as we deem appropriate with respect to your right to access and use all or any portion of the Site, including, without limitation, terminating your access to the Site, canceling your Ticket Order, Charitable Payments, Ticket Donation or Ticket Allocation or employing any other remedy available, if we believe that (a) your conduct violates or is inconsistent with these Terms or violates the law or the rights of TFC, a Ticket Source, a client, a Partner Charity or other type of partner of TFC, or another user of the Site; or (b) the information you provided concerning yourself is inaccurate or cannot otherwise be authenticated.

19.2. You agree that monetary relief may not render a sufficient remedy to TFC for violations of these Terms and you consent to injunctive or other equitable relief for such violations. TFC is not required to provide any refund to you or to return Donated Tickets or Allocated Tickets if your access to this Site is terminated because you have violated these Terms or any of TFC's rights.

19.3. You agree that TFC may report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other relevant third parties. We will cooperate to ensure that any violators are prosecuted to the fullest extent of the law.

19.4. You authorize us to withhold payment or charge your credit card account if (a) we reasonably believe that you have committed fraud or other illegal act or omission during any activity on the Site; or (b) you otherwise owe us a specific amount. If any of these things happen, we may also offset from any amount TFC owes you, such amount that you owe TFC.

20. Disclaimer of Warranties and Limitation of Liability

20.1. TFC does not promise that the Site will be free of error, uninterrupted, or that it will provide specific result from use of any content, search, or link found on this Site. The Site and its content are delivered on an "as-is" and "as-available" basis. TFC cannot guarantee that files you download from the Site will be virus-free or free of harmful features. We expressly reserve the right to modify, suspend or discontinue service on the Site at any time with no notice to you.

20.2. TFC expressly disclaims all warranties, express or implied, including also any implied warranties of merchantability and fitness for a particular purpose. TFC will not be liable for and expressly disclaims any damages of any kind arising from the use of this Site including without limitation, direct, indirect, incidental, and punitive and consequential damages or for lost profits, revenues, or business opportunities, even if TFC has been advised of the possibility of such damages.

20.3. TFC disclaims any and all liability for the acts, omissions, and conduct of any third party users, Ticket Sources, TFC users, TFC Parties, advertisers and/or sponsors on the Site, in connection with the service provided by TFC or otherwise related to your use of the Site. TFC is not responsible for the products, services, actions or failure to act of any promoter, venue, performer, team, or other third party in connection with or referenced on this Site or relating to any Tickets purchased, donated or allocated on this Site.

20.4. Because some jurisdictions do not allow exclusions of implied warranties or limitations on how long an implied warranty lasts, the limitations set forth above may not apply to you.

20.5. Your use of the Site constitutes your unconditional consent to all of the terms and conditions set forth herein and an acknowledgement of the disclaimers and limitations of liability set forth in the Terms.

21. Miscellaneous Provisions

21.1. This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Massachusetts, without regard to its provisions governing conflicts of law. No agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by this Agreement. This Agreement (and all documents incorporated by reference) constitutes the entire agreement between the parties pertaining to the subject matter hereof and supersedes all prior agreements and understandings between the parties hereto with respect to the subject matter hereof, whether written or oral. TFC expressly disclaims any duty to update or revise these Terms, although we may modify these Terms at any time without notice. If any provision of this Agreement is held to be invalid or unenforceable under any circumstances, its application in any other circumstances and the remaining provisions of this Agreement shall not be affected. You may not assign or transfer this Agreement, or any of its rights or obligations, without the prior written consent of TFC, which TFC may withhold in its sole. Nothing in this Agreement is intended to confer benefits, rights or remedies unto any person or entity other than the parties hereto and their successors and permitted assigns.
